1. Agreement to Terms
Welcome to BadActors ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our fraud prevention platform, website, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.
2. Definitions
"Merchant" means an e-commerce business that registers for and uses our Services.
"Customer" means an end consumer who makes purchases from a Merchant.
"Fraud Report" means information submitted by a Merchant documenting suspected fraudulent activity.
"Fraudulent Activity" means conduct including but not limited to chargeback fraud, return fraud, item substitution, false claims of non-delivery, or other deceptive practices intended to obtain goods or refunds without proper payment.
"Account" means the account you create to access our Services.
"Fraud Database" means our proprietary database of Fraud Reports submitted by Merchants.
3. Eligibility and Account Registration
3.1 Eligibility
To use our Services, you must:
Be at least 18 years of age
Have the legal capacity to enter into binding contracts
Operate a legitimate e-commerce business
Not be prohibited from using the Services under applicable law
Not have been previously banned from our Services
3.2 Account Registration
To access the Services, you must:
Provide accurate, current, and complete information
Maintain and update your account information
Keep your password secure and confidential
Notify us immediately of any unauthorized access
Be responsible for all activity under your Account
3.3 Required Store Information
During registration, you must provide complete and accurate information about your e-commerce business, including:
Store name and URL
Description of products or services sold
E-commerce platform used (Shopify, WooCommerce, etc.)
Business contact information
Business entity details (legal name, registration)
Average monthly order volume
All information provided must be truthful, current, and verifiable.
3.4 Merchant Evaluation and Approval Process
Application Review: All merchant applications undergo a mandatory evaluation process to verify business legitimacy. This process typically takes 3 business days but may take longer depending on the information provided.
Evaluation Criteria: We evaluate applications based on factors including but not limited to:
Evidence of active, legitimate e-commerce operations
Professional website with functioning checkout
Clear product/service offerings
Legitimate business contact information
Compliance with applicable business regulations
Business history and reputation
Alignment with our service terms and acceptable use policies
Right to Reject: We reserve the absolute right to reject any merchant application for any reason, including but not limited to:
Incomplete or inaccurate information
Inability to verify business legitimacy
Suspicious or fraudulent business indicators
Business selling prohibited or restricted items
Previous violations of our Terms or policies
Failure to meet our internal qualification standards
Rejection Notice: If your application is rejected, we will notify you via email. We are not obligated to provide specific reasons for rejection, though we may provide general feedback at our discretion.
No Refund for Rejected Applications: Registration fees (if applicable) are non-refundable even if your application is rejected.
Reapplication: If rejected, you may reapply after 30 days if you can address the concerns that led to rejection. Repeated applications without addressing deficiencies may result in permanent prohibition from our Services.
3.5 Ongoing Verification
Even after approval, we reserve the right to:
Request additional verification information at any time
Re-evaluate your business legitimacy
Conduct periodic reviews of merchant accounts
Request updated business information
Verify continued compliance with these Terms
Failure to provide requested information or satisfy verification requirements may result in account suspension or termination.
3.6 Business Verification
We reserve the right to verify your business information and may request:
Business registration documents
Tax identification numbers
Proof of e-commerce operations
Identity verification
Bank account verification
Trade licenses or permits
References from payment processors or platforms
Failure to provide requested verification may result in account suspension or termination.
3.7 One Account Per Business
Each business entity may maintain only one Account. Creating multiple accounts may result in termination of all accounts. How can manage multiple ecommerce sites from one account if they all function under the same buisness.
4. Description of Services
4.1 Core Services
Our Services provide:
Integration with e-commerce platforms (Shopify, WooCommerce, etc.)
Automated order screening against our Fraud Database
Fraud alert notifications when flagged Customers place orders
Ability to submit Fraud Reports
Access to fraud prevention tools and analytics
Merchant dashboard and reporting features
4.2 How the Service Works
Order Scanning: When a Customer places an order on your e-commerce site, our system automatically checks the Customer's information against our Fraud Database.
Fraud Alerts: If a match is found with existing Fraud Reports, you receive an alert containing:
Notification that this Customer has fraud reports from other Merchants
General nature of reported incidents (chargeback, return fraud, etc.)
Number of reports
Date range of incidents
Fraud Reporting: You may submit Fraud Reports documenting Fraudulent Activity by your Customers. These reports are added to our Fraud Database and used to alert other Merchants.
4.3 Service Limitations
We do NOT:
Share specific customer purchase histories between Merchants
Provide legal advice or guarantee legal compliance
Make decisions about how you handle orders
Guarantee prevention of all fraud
Share detailed transaction data from other Merchants
Act as a credit reporting agency or consumer reporting agency
You acknowledge that:
Our Services are tools to assist with fraud detection
Final decisions about orders remain your responsibility
Fraud alerts are informational and may not be 100% accurate
Not all fraudulent activity will be detected
You must conduct your own due diligence
5. Acceptable Use Policy
5.1 Permitted Uses
You may use the Services only for:
Legitimate fraud prevention purposes
Protecting your business from Fraudulent Activity
Making informed decisions about order fulfillment
Submitting truthful Fraud Reports based on actual incidents
5.2 Prohibited Uses
You may NOT:
Submit false, misleading, or fraudulent reports
Use the Services to harass, defame, or discriminate against Customers
Submit reports based on personal disputes unrelated to fraud
Use the Services for any illegal purpose
Attempt to identify specific Customers from other Merchants' reports
Share, sell, or redistribute data from our Fraud Database
Reverse engineer, decompile, or disassemble any portion of the Services
Use automated systems to access the Services without permission
Interfere with or disrupt the Services
Violate any applicable laws or regulations
Impersonate any person or entity
Collect information about other Merchants or their Customers beyond what the Services provide
Use the Services in a way that violates Customer privacy rights
5.3 Fraud Report Standards
When submitting Fraud Reports, you must:
Have a good faith belief that Fraudulent Activity occurred
Provide truthful and accurate information
Include supporting documentation where available
Submit reports only for incidents involving your own business
Not submit reports based on speculation or assumptions
You may NOT submit reports based solely on:
Customer's race, ethnicity, religion, gender, sexual orientation, or other protected characteristics
Personal dislike of the Customer
Legitimate disputes or misunderstandings
Customer exercising legitimate rights (e.g., valid returns)
5.4 Compliance with Laws
You agree to comply with all applicable laws, including:
Privacy and data protection laws (GDPR, CCPA, etc.)
Consumer protection laws
Anti-discrimination laws
Fair Credit Reporting Act (FCRA) requirements
E-commerce regulations in your jurisdiction
6. Subscription Plans and Pricing
6.1 Subscription Tiers
We offer multiple subscription plans based on:
Number of orders scanned per month
Feature access
Support level

6.2 Free Tier
Our free tier includes:
Limited order scanning
Unlimited Fraud Report submissions
Free accounts may have additional restrictions as specified on our website.
6.3 Paid Subscriptions
Paid subscriptions include:
Increased order scanning capacity
Unlimited Fraud Report submissions
Priority support
6.4 Billing and Payment
Billing Cycle: Subscriptions are billed monthly or annually based on your selected plan.
Payment Methods: We accept payment via credit card, debit card, or other methods specified at checkout.
Automatic Renewal: Subscriptions automatically renew unless cancelled before the renewal date.
Price Changes: We reserve the right to modify pricing with at least 30 days' notice. Continued use after price changes constitutes acceptance.
Taxes: You are responsible for all applicable taxes. Prices do not include sales tax, VAT, or other taxes unless specified.
Refunds: Refunds are provided only as specified in Section 8 (Cancellation and Termination).
6.5 Overage Charges
If you exceed your plan's order scanning limit:
You will be notified of the overage
Service may be temporarily limited until overage is resolved or it resets at the next month.
6.6 Payment Failures
If payment fails:
We will attempt to notify you and retry payment
After 3 failed attempts, your account may be suspended or downgraded
You remain liable for unpaid amounts
We may charge fees for failed payments or collection costs
7. Intellectual Property Rights
7.1 Our Intellectual Property
The Services, including all content, features, functionality, software, algorithms, and Fraud Database, are owned by BadActors and protected by copyright, trademark, patent, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to:
Access and use the Services for your internal business purposes
Access fraud alerts related to your Customers
Use our integration tools with your e-commerce platform
This license does NOT permit you to:
Copy, modify, or create derivative works
Reverse engineer or decompile the Services
Remove proprietary notices
Use our trademarks without permission
Resell or redistribute the Services
7.2 Your Content
You retain ownership of all data you submit to our Services, including:
Business information
Fraud Reports
Customer data from your transactions
By submitting Fraud Reports, you grant us:
A worldwide, non-exclusive, royalty-free license to use, process, and display the information
The right to include reports in our Fraud Database
The right to aggregate and analyze data for fraud prevention
The right to share alerts with other Merchants as described in these Terms
7.3 Feedback
If you provide suggestions, ideas, or feedback about our Services:
We may use such feedback without obligation to you
You grant us all rights to use and incorporate feedback
We are not obligated to keep feedback confidential
8. Cancellation and Termination
8.1 Cancellation by You
You may cancel your subscription at any time by:
Accessing your account settings
Contacting our support team at support@badactors.io
Cancellation terms:
Cancellation is effective at the end of your current billing period
You will retain access until the end of the paid period
No refunds for partial months or unused service
You may export your data before cancellation
Fraud Reports you submitted remain in the Fraud Database
8.2 Termination by Us
We may suspend or terminate your Account immediately if:
You violate these Terms
You submit false or fraudulent reports
You engage in prohibited activities
Your account is inactive for 12 months
Required by law
You fail to pay amounts owed
We discontinue the Services (with notice)
8.3 Effect of Termination
Upon termination:
Your access to the Services immediately ceases
You must cease all use of the Services
You remain liable for amounts owed
You lose access to data stored in your Account
Provisions that should survive termination remain in effect
8.4 Data After Termination
After termination:
Fraud Reports you submitted remain in the Fraud Database
We retain data as required by law or our Privacy Policy
You may request data export within 10 days of termination
We are not obligated to maintain or return data after 30 days
8.5 No Refunds
Except as required by law:
Subscription fees are non-refundable
No refunds for partial months or early cancellation
No refunds if your Account is terminated for violations
9. Disclaimers and Limitations of Liability
9.1 Service Provided "AS IS"
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
Warranties of merchantability
Fitness for a particular purpose
Non-infringement
Accuracy, reliability, or completeness
Uninterrupted or error-free operation
Freedom from viruses or harmful components
9.2 No Guarantee of Fraud Prevention
WE DO NOT GUARANTEE THAT:
The Services will prevent all fraud
Fraud alerts are 100% accurate
All fraudulent Customers will be detected
The Services will meet your specific requirements
You will recover losses from Fraudulent Activity
9.3 Third-Party Integrations
We are not responsible for:
Third-party e-commerce platforms (Shopify, WooCommerce, etc.)
Availability or accuracy of third-party services
Changes to third-party APIs or services
Data loss or errors caused by third-party platforms
9.4 Your Responsibility
YOU ARE SOLELY RESPONSIBLE FOR:
Decisions about order fulfillment or cancellation
Compliance with laws applicable to your business
Your treatment of Customers
Verifying information before taking action
Your own fraud prevention procedures
Accuracy of Fraud Reports you submit
9.5 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
WE SHALL NOT BE LIABLE FOR:
Indirect, incidental, consequential, special, or punitive damages
Lost profits, revenue, data, or business opportunities
Damages resulting from fraud not detected by our Services
Damages resulting from your reliance on fraud alerts
Damages from service interruptions or errors
Any damages exceeding the amount you paid us in the 12 months preceding the claim
AGGREGATE LIABILITY CAP:
Our total liability for all claims shall not exceed the greater of:
$100 USD, or
The amount you paid us in the 12 months before the claim
Exceptions:
Some jurisdictions do not allow limitation of implied warranties or liability for certain damages. In such jurisdictions, our liability is limited to the extent permitted by law.
9.6 Indemnification
You agree to indemnify, defend, and hold harmless BadActors, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
Your use of the Services
Your violation of these Terms
Your violation of any law or regulation
Your violation of third-party rights
Fraud Reports you submit
Your treatment of Customers
Any dispute between you and a Customer
10. Dispute Resolution
10.1 Governing Law
These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles.
10.2 Informal Resolution
Before filing a claim, you agree to contact us at [legal email] and attempt to resolve the dispute informally for at least 30 days.
10.3 Arbitration Agreement
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
You and BadActors agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration, except as specified below.
Arbitration Rules:
One arbitrator selected BadActors
Each party bears its own costs unless awarded by the arbitrator
Exceptions to Arbitration:
Small claims court actions (if qualified)
Injunctive or equitable relief for intellectual property infringement
Claims that cannot be arbitrated by law
10.4 Class Action Waiver
YOU AND BADACTORS AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CLASS ARBITRATION, OR CONSOLIDATED ACTION.
10.5 Opt-Out
You may opt out of the arbitration agreement by sending written notice to [legal address] within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration.
### 10.6 Jurisdiction and Venue
If arbitration does not apply:
Exclusive jurisdiction chosen by BadActors
You consent to personal jurisdiction in that location
You waive any objection to venue
10.7 Time Limit for Claims
You must bring any claim within one (1) year after the cause of action arises, or the claim is permanently barred.
11. General Provisions
11.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and BadActors regarding the Services.
11.2 Modifications to Terms
We may modify these Terms at any time by:
Posting the revised Terms on our website
Updating the "Last Updated" date
Providing notice via email for material changes
Your continued use after changes constitutes acceptance. If you do not agree to modified Terms, you must stop using the Services and cancel your account.
11.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full effect, and the invalid provision shall be modified to be enforceable to the maximum extent permitted by law.
11.4 Waiver
Our failure to enforce any provision does not waive our right to enforce it later. Any waiver must be in writing and signed by an authorized representative.
11.5 Assignment
You may not assign or transfer your rights or obligations under these Terms without our written consent.
We may assign our rights and obligations without restriction, including to:
Affiliates or subsidiaries
Acquirers of our business or assets
Successors in interest
11.6 Force Majeure
We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including:
Natural disasters
War, terrorism, or civil unrest
Government actions or regulations
Internet service provider failures
Power outages or equipment failures
Pandemics or public health emergencies
11.7 Independent Contractors
You and BadActors are independent contractors. These Terms do not create a partnership, joint venture, employment, or agency relationship.
11.8 No Third-Party Beneficiaries
These Terms do not confer any rights or benefits to third parties except as explicitly stated.
11.9 Notices
To You: We may provide notices via:

In-app notifications

Notices are effective when sent (by us) or received (by you).
11.10 Export Compliance
You agree to comply with all export and import laws and regulations. You represent that you are not located in, or a national of, any country subject to embargo or on any restricted party list.
11.11 Language
These Terms are drafted in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.
